Legal Status of This Document

This document constitutes an electronic record within the meaning of applicable information technology laws and regulations in force from time to time, including but not limited to the Information Technology Act, 2000, and the rules framed thereunder, as amended periodically.

This electronic record is generated by a computer system and does not require physical, digital, or electronic signatures for validity, enforceability, or admissibility.

This document is published in accordance with intermediary guidelines, platform governance rules, and applicable global digital commerce regulations requiring disclosure of platform rules, user obligations, privacy commitments, and service conditions.

Definitions and Interpretation

For the purposes of these Terms and Conditions, unless the context otherwise requires:

The term “Moris Media”, “Company”, “We”, “Us”, or “Our” refers to Moris Media Private Limited, a company incorporated under the Companies Act, 2013, including its subsidiaries, affiliates, directors, officers, employees, contractors, representatives, agents, licensors, and permitted assigns.

The term “Platform” refers collectively to all Moris Media owned and operated websites, country-specific domains, subdomains, mobile applications, web applications, portals, dashboards, communication systems, CRM tools, proprietary platforms, and any current or future digital services operated by Moris Media.

The term “User”, “You”, or “Your” refers to any natural person, legal entity, organization, business, service provider, client, visitor, subscriber, contributor, advertiser, or representative thereof who accesses, browses, registers, interacts with, or uses the Platform in any manner.

Binding Nature of Agreement

These Terms and Conditions, together with the Privacy Policy, Cookies Policy, Intellectual Property Policy, Refund Policy, and any additional service-specific terms, constitute a legally binding agreement between the User and Moris Media.

By accessing, browsing, registering, submitting information, requesting services, or using any part of the Platform, the User acknowledges that they have read, understood, and agreed to be legally bound by this Agreement in its entirety.

If the User does not agree with any part of this Agreement, the User must immediately discontinue access to and use of the Platform.

Scope of Services

Moris Media operates as a global communications, public relations, reputation management, digital advisory, and service facilitation platform.

The Platform enables Users to access Moris Media’s proprietary services, consultative offerings, digital tools, business solutions, and information resources. Certain features may also facilitate interactions between Users and third-party service providers or collaborators.

Moris Media does not guarantee outcomes, commercial success, rankings, revenue generation, reputation improvement, or specific results unless explicitly stated in a written service agreement executed separately.

Eligibility and User Responsibility

By using the Platform, the User confirms that they are at least eighteen years of age or otherwise legally competent to enter into binding contracts under applicable law.

Users accessing the Platform on behalf of an organization, company, or legal entity represent and warrant that they have the authority to bind such entity to these Terms.

The User agrees to provide accurate, current, and complete information at all times and acknowledges that submission of false, misleading, or incomplete information may result in suspension or termination of access without notice.

Registration and Account Security

Certain services require registration and account creation. Users are solely responsible for maintaining the confidentiality of login credentials, passwords, and authentication mechanisms.

Moris Media shall not be liable for any loss, damage, or unauthorized activity resulting from User negligence, credential sharing, or failure to secure account access.

The User agrees to notify Moris Media immediately upon becoming aware of any unauthorized access, security breach, or misuse of their account.

Platform Modifications and Availability

Moris Media reserves the unrestricted right to modify, suspend, discontinue, enhance, or remove any feature, service, content, or functionality of the Platform at any time without prior notice.

Moris Media does not warrant uninterrupted availability, error-free operation, or continuous access and shall not be liable for downtime caused by technical issues, maintenance, third-party dependencies, force majeure events, or regulatory actions.

Intellectual Property Rights

All intellectual property associated with the Platform, including but not limited to trademarks, service marks, logos, brand elements, proprietary frameworks, content, designs, software, databases, and documentation, is owned exclusively by Moris Media or licensed to it.

Unauthorized reproduction, modification, distribution, public display, or commercial exploitation of any Platform content is strictly prohibited and may result in legal action.

Confidentiality Obligations

Users acknowledge that certain information exchanged with Moris Media may be confidential, proprietary, or commercially sensitive.

Both parties agree to protect such Confidential Information and to use it solely for lawful purposes related to service delivery, compliance, or contractual obligations.

Disclosure may occur where required by law, court order, or regulatory authority.

Communications and Consent

By using the Platform, the User expressly consents to receive communications via email, phone calls, messages, automated systems, or digital notifications for service-related, operational, legal, or transactional purposes.

Call recordings may be maintained for quality, training, dispute resolution, and compliance purposes in accordance with applicable laws.

Limitation of Liability

To the maximum extent permitted by law, Moris Media shall not be liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, data, goodwill, or business opportunities.

Moris Media’s maximum aggregate liability, if any, shall be limited to the fees actually paid by the User for the specific service giving rise to the claim.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India.

Subject to arbitration provisions where applicable, courts located in Kolkata, West Bengal, shall have exclusive jurisdiction.

Payments, Fees, and Pricing Structure

Moris Media offers services through multiple engagement models, including but not limited to subscription-based services, campaign-based services, consulting retainers, one-time service engagements, and customized enterprise agreements. The pricing for each service shall be communicated transparently on the Platform or through official written communication issued by Moris Media.

All fees, unless otherwise expressly stated, are exclusive of applicable taxes, levies, duties, surcharges, or governmental charges imposed by any authority in India or internationally. The User agrees to bear all such applicable taxes in accordance with prevailing laws.

Moris Media reserves the unrestricted right to revise, modify, or restructure pricing, service scope, deliverables, or billing models at any time. Any such changes shall be effective from the date of publication or communication and shall apply prospectively unless expressly stated otherwise.

Payment Processing and Authorization

Payments may be processed through authorized payment gateways, banking channels, digital wallets, international payment processors, or other financial intermediaries as determined by Moris Media. By initiating a payment, the User confirms that they are legally authorized to use the selected payment method.

Moris Media acts solely as a facilitator for payment processing and does not operate as a banking institution, financial intermediary, escrow agent, trustee, or fiduciary. All transactions are executed on a principal-to-principal basis between Moris Media and the User, or between the User and a third-party service provider where applicable.

Moris Media shall not be responsible for delays, failures, reversals, or errors caused by banks, payment processors, network outages, currency conversion issues, regulatory restrictions, or force majeure events beyond its reasonable control.

Refund Policy

Refunds, where applicable, are governed strictly by Moris Media’s Refund Policy as published on the Platform and as agreed at the time of service engagement. Unless explicitly stated otherwise in a written contract, all services provided by Moris Media are non-refundable once initiated, activated, or delivered.

In cases where a refund is contractually permitted, Moris Media reserves the right to deduct applicable administrative charges, taxes, transaction fees, service value already delivered, third-party costs incurred, and any other reasonable expenses before processing the refund.

Refund requests must be submitted in writing from the registered email address of the User within the stipulated timeframe. No oral, informal, or third-party requests shall be entertained.

Cancellation of Services

Users may request cancellation of services only in accordance with the cancellation terms applicable to the specific service purchased. Certain services, including but not limited to digital campaigns, PR activities, content production, reputation management, consulting retainers, and customized strategies, are inherently non-cancellable once initiated.

Moris Media shall not be liable for any losses, opportunity costs, reputational impact, or consequential damages arising from service cancellation initiated by the User.

User Content and Submissions

The Platform may permit Users to submit, upload, transmit, publish, or otherwise make available content including text, images, videos, data, feedback, testimonials, comments, or other materials (“User Content”).

By submitting User Content, the User represents and warrants that they own or have lawful rights to such content and that it does not infringe any intellectual property, privacy, publicity, or other legal rights of any third party.

The User grants Moris Media a worldwide, irrevocable, perpetual, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, distribute, display, and create derivative works from such User Content for Platform operations, marketing, analytics, training, and business purposes.

Prohibited Content and Conduct

Users agree not to upload, publish, transmit, or engage in any activity that is unlawful, defamatory, obscene, abusive, misleading, fraudulent, threatening, discriminatory, or otherwise objectionable.

The following categories of content are strictly prohibited, including but not limited to:

• Content infringing intellectual property rights
• False or misleading representations
• Hate speech, harassment, or threats
• Malware, viruses, or harmful code
• Unauthorized advertising or solicitation
• Impersonation of individuals or entities

Moris Media reserves the right to remove any such content without notice and to suspend or terminate User access where violations occur.

Third-Party Services and External Links

The Platform may contain links to third-party websites, services, tools, or resources. These are provided solely for convenience and do not constitute endorsement, sponsorship, or recommendation by Moris Media.

Moris Media has no control over third-party services and shall not be responsible for their availability, accuracy, content, security, policies, or practices. Users access such services at their own risk and are advised to review applicable terms and privacy policies independently.

No Guarantee of Outcomes

Moris Media provides strategic, advisory, and execution services based on expertise, data, and industry best practices. However, the User acknowledges that outcomes such as media coverage, brand perception, rankings, engagement metrics, revenue growth, or reputational impact depend on numerous external factors beyond Moris Media’s control.

Accordingly, Moris Media makes no warranties or guarantees regarding specific results unless expressly stated in a signed service agreement.

Suspension and Termination

Moris Media reserves the unilateral right to suspend, restrict, or terminate User access to the Platform or services at any time, with or without notice, in cases of breach, misuse, legal non-compliance, reputational risk, or security concerns.

Upon termination, all outstanding obligations, payment liabilities, confidentiality clauses, intellectual property provisions, and indemnities shall survive.

Indemnification

The User agrees to indemnify, defend, and hold harmless Moris Media, its directors, officers, employees, affiliates, agents, and partners from any claims, losses, damages, liabilities, penalties, costs, or expenses arising from:

• Breach of these Terms
• Violation of applicable laws
• Infringement of third-party rights
• Misuse of the Platform or services
• User Content submitted or actions taken

Force Majeure

Moris Media shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of war, governmental actions, cyber incidents, labor disputes, pandemics, infrastructure failures, or other force majeure events.

Severability

If any provision of these Terms is held unlawful, void, or unenforceable, such provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

Limitation of Liability

To the maximum extent permitted under applicable law, Moris Media, including its directors, officers, employees, affiliates, agents, representatives, licensors, and service providers, shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages whatsoever.

This limitation includes, without limitation, damages for loss of profits, loss of business, loss of data, loss of goodwill, reputational harm, service interruption, system failure, inaccurate information, or any other intangible losses arising out of or in connection with the use of, inability to use, reliance upon, or performance of the Platform or Services.

In no event shall the aggregate liability of Moris Media, whether in contract, tort, negligence, strict liability, statutory duty, intellectual property infringement, or otherwise, exceed the total fees actually paid by the User to Moris Media for the specific service giving rise to the claim during the twelve (12) months preceding the event giving rise to such liability.

Disclaimer of Warranties

All services, content, tools, data, and materials provided by Moris Media are offered strictly on an “as is” and “as available” basis.

Moris Media expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted availability, or error-free performance.

Moris Media does not warrant that the Platform will be secure, free from viruses, defects, or harmful components, or that any defects will be corrected. Users acknowledge that their use of the Platform is at their sole risk.

No Professional or Legal Advice

Nothing contained on the Platform or provided through Moris Media services shall be construed as legal, financial, medical, political, or regulatory advice. Users are advised to seek independent professional counsel before relying on any information, insights, or recommendations provided.

Intellectual Property Ownership

All trademarks, logos, service marks, brand elements, content structures, frameworks, methodologies, proprietary systems, and original works displayed or used on the Platform are the exclusive property of Moris Media or its licensors and are protected under applicable intellectual property laws.

Unauthorized use, reproduction, modification, distribution, or exploitation of Moris Media intellectual property is strictly prohibited and may result in civil and criminal liability.

Nothing in these Terms grants the User any ownership or license rights beyond limited, revocable, non-transferable access strictly for permitted use of the Platform.

Global Use and Jurisdictional Compliance

The Platform is operated globally and may be accessed from multiple jurisdictions. Users accessing the Platform from outside India do so at their own initiative and are solely responsible for compliance with local laws, regulations, export controls, data protection rules, and industry-specific requirements applicable in their jurisdiction.

Moris Media makes no representation that the Platform or Services are appropriate or legally permissible in all territories.

Governing Law

These Terms & Conditions, the Privacy Policy, and all related agreements shall be governed by and construed exclusively in accordance with the laws of India, without regard to conflict of law principles.

Arbitration and Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or Services shall first be attempted to be resolved through good-faith negotiations.

If such dispute is not resolved within thirty (30) days, it shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted by a sole arbitrator appointed by Moris Media. The seat and venue of arbitration shall be Kolkata, West Bengal, India. The language of arbitration shall be English.

The arbitral award shall be final, binding, and enforceable upon the parties.

Exclusive Jurisdiction

Subject to the arbitration clause above, the courts located in Kolkata, West Bengal, India shall have exclusive jurisdiction over any matters arising from or related to these Terms or the Platform.

Time Limitation on Claims

Any claim or cause of action arising out of or relating to the use of the Platform or these Terms must be initiated within one (1) year from the date on which the cause of action arose. Claims filed beyond this period shall be permanently barred.

Assignment

Moris Media may assign, transfer, or novate its rights and obligations under these Terms, in whole or in part, without prior notice or consent. Users may not assign or transfer their rights without prior written consent from Moris Media.

Waiver

Failure by Moris Media to enforce any provision of these Terms shall not constitute a waiver of such provision or any other rights.

Entire Agreement

These Terms & Conditions, together with the Privacy Policy, Refund Policy, Intellectual Property Policy, and any additional service-specific agreements, constitute the entire agreement between the User and Moris Media and supersede all prior communications, representations, or agreements, whether oral or written.

Amendments and Updates

Moris Media reserves the right to modify, update, revise, or replace these Terms at any time. Updated versions shall be effective upon publication on the Platform with a revised “Last Updated” date.

Continued use of the Platform after such updates constitutes acceptance of the revised Terms.

Survival

All provisions which by their nature should survive termination, including but not limited to intellectual property, confidentiality, indemnification, limitation of liability, governing law, dispute resolution, and jurisdiction clauses, shall survive termination of these Terms.
